1. Acceptance of These Terms

By accessing or using the Site, you agree to these Terms of Use and confirm that you have read and understood them. If you do not agree, you must not use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Minimum age: the Site is intended for individuals aged 16 or older. If you are under 16, please do not submit personal data through the Site. Where a parent or legal guardian permits a minor to use the Site, the parent or guardian is responsible for the minor’s activity.

Our Privacy Policy and Cookies Policy form part of these Terms and explain how we handle personal data and cookies.

2. Educational Purpose and No Guarantees

KYDOS SRL provides leadership education, organizational development training, workplace effectiveness programmes, business communication workshops, and professional growth courses. All content and services are provided exclusively for educational and professional development purposes.

• No guarantee: participation does not guarantee employment opportunities, business success, financial outcomes, professional advancement, or any specific result.
• Participant responsibility: outcomes depend on context, implementation discipline, and factors outside KYDOS SRL’s control.
• No professional advice: the Site does not provide legal, financial, tax, medical, or other regulated professional advice.

Any examples, scenarios, or case illustrations are used for teaching purposes and are not a promise of results. Where we describe typical learning structures (modules, workshops, assignments), delivery may vary by cohort, time zone, and program design.

3. Description of the Site and Services

The Site is a corporate and educational information platform for KYDOS SRL. It may include descriptions of courses and programs, learning resources, and a contact form that allows participants and organizations to request information or initiate an enrollment conversation.

KYDOS SRL may modify, update, suspend, or discontinue any part of the Site at any time, including content, program descriptions, or the availability of certain learning formats. We do not guarantee that the Site will be available without interruption, or that it will be error-free.

4. Inquiries, Communications, and Accuracy of Information

When you submit an inquiry through the Site, you agree to provide accurate and complete information and to keep communications respectful and lawful. KYDOS SRL uses inquiry details to respond, suggest program fit, and coordinate next steps. We may request clarifications to ensure your inquiry is understood correctly.

We may communicate with you by email or phone using the contact details you provide. Timing estimates (for example, “within 1 business day”) are targets, not guarantees, and can vary due to holidays, high volume, or verification needs.

We do not request payment card details through the Site’s contact form. If you receive a message claiming otherwise, please contact us using the details in Section 21.

5. Acceptable Use

You agree not to misuse the Site. In particular, you must not (and must not attempt to):

• Use the Site in any unlawful manner or for any unlawful purpose.
• Submit false, misleading, or impersonating information through any form.
• Interfere with or disrupt the Site, including by introducing malware, attempting to overload servers, or probing for vulnerabilities.
• Access, scrape, crawl, or harvest data from the Site using automated tools without KYDOS SRL’s prior written permission.
• Attempt to bypass security controls, rate limits, or anti-spam measures.
• Use the Site to send spam or unsolicited promotional messages.
• Copy, reproduce, or republish substantial portions of Site content except as permitted under Section 7.

KYDOS SRL may implement technical measures (including rate limiting, filtering, and validation checks) to protect the Site and users from abusive traffic. Repeated automated submissions or suspicious traffic patterns may be blocked.

6. Your Content (Messages and Submissions)

When you submit content to KYDOS SRL (such as an inquiry message), you confirm that (a) you have the rights to provide that content, and (b) it does not infringe third-party rights or contain unlawful material.

You grant KYDOS SRL a limited, non-exclusive right to use your submission for the purpose of responding to your inquiry, evaluating program fit, and maintaining internal records related to the communication. We do not claim ownership over your submission. Personal data within submissions is processed as described in the Privacy Policy.

7. Intellectual Property

The Site and its content—including text, program descriptions, lesson structure explanations, design, software code, logos, and trademarks—are owned by or licensed to KYDOS SRL and are protected by applicable intellectual property laws.

KYDOS SRL grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal or internal business purposes, strictly in accordance with these Terms. You may print or download limited extracts for your own reference, provided you do not remove notices and you do not use the material for commercial publication or redistribution.

Any other use—including copying, republishing, distribution, public display, or creation of derivative works—requires KYDOS SRL’s prior written consent.

8. Third-Party Services and Links

The Site may reference third-party services or resources. Any third-party websites are controlled by their respective owners. KYDOS SRL does not control and is not responsible for third-party content, policies, availability, or security practices. Your use of any third-party service is at your own risk and subject to that third party’s terms.

9. Disclaimer of Warranties

The Site and all content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, KYDOS SRL disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

KYDOS SRL does not warrant that the Site will be uninterrupted, secure, or free from errors, or that any defects will be corrected. You are responsible for ensuring that your use of the Site is appropriate for your needs and that your devices and networks are protected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, KYDOS SRL will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of (or inability to use) the Site.

To the maximum extent permitted by law, KYDOS SRL’s total liability for any claim arising from or relating to the Site or these Terms will be limited to the greater of (a) the amount you paid to KYDOS SRL for services in the 12 months before the event giving rise to the claim, or (b) €100.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Indemnification

You agree to indemnify and hold harmless KYDOS SRL from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site, (b) your submissions, (c) your breach of these Terms, or (d) your violation of any law or third-party rights.

12. Force Majeure

KYDOS SRL will not be liable for any delay or failure to perform resulting from events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, public health emergencies, power outages, internet or telecommunications failures, cyberattacks, or cloud service disruptions.

13. International Use

KYDOS SRL operates from Milan, Italy and provides educational services to participants throughout Canada. Access to the Site may not be legal for certain persons or in certain jurisdictions. KYDOS SRL makes no representation that the Site or content is appropriate or available in every location. If you access the Site from outside Italy, you do so on your own initiative and are responsible for compliance with local laws.

14. Governing Law and Jurisdiction (Italy)

These Terms are governed by and construed in accordance with the laws of Italy, without regard to conflict-of-law principles. Unless mandatory consumer protections apply, the courts of Milan (Milano), Italy will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Site.

If you are a consumer resident in the European Union, you may also benefit from mandatory provisions of the consumer protection laws of your country of residence, and you may be able to bring proceedings in the courts of your place of residence where required by applicable law.

15. Dispute Resolution

Before starting formal proceedings, you agree to contact KYDOS SRL and allow a 30-day period to attempt to resolve the matter informally. This does not prevent either party from seeking urgent injunctive relief where appropriate.

16. Termination

KYDOS SRL may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms or have used the Site in a way that could cause harm, disruption, or legal exposure.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and Cookies Policy, constitute the entire agreement between you and KYDOS SRL regarding the Site and supersede any prior or contemporaneous understandings on the same subject.

19. Assignment

KYDOS SRL may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without KYDOS SRL’s prior written consent.

20. Modifications to These Terms

KYDOS SRL may update these Terms from time to time. Changes become effective 14 days after they are posted on this page, unless a change is required by law to take effect sooner. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.
